The 24 Clicks Competition is intended for viewing and participation only in the United States and shall be construed according to, and governed exclusively by U.S. law.  Do not participate in the Contest unless you (i) meet the eligibility requirements set forth below and (ii) are a legal resident physically located in the United States at the time of entry.

24 CLICKS COMPETITION

TERMS, CONDITIONS, and OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS COMPETITION.  A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. THIS COMPETITION IS VOID WHERE PROHIBITED.

PARTICIPATION: The 24 CLICKS COMPETITION (“Contest”) is a photography competition that will be hosted at 24Clicks.3SAM.net (“Site”).  By participating in Contest, each Contestant accepts and agrees to these Official Rules and the decisions of SCION, a division of Toyota Motor Corporation (“Sponsor”) and 3 Steps Ahead Media, Inc. (“Administrator”).  Decisions of the Sponsor and Administrator shall be final and binding.

Contest begins at 5:00 P.M. Eastern Standard Time (“EST”) on June 9, 2010, and entries, as defined below, must be received no later than 11:59 P.M. Eastern Daylight Time (“EDT”) on September 1, 2010 (the “Submission Period”).   Visitors to Site will be able to vote from August 8, 2010 until 11:59 P.M. EDT on November 5, 2010 (the “Voting Period”). The winning photographs will be chosen based on the votes of the Site’s users and the curators’ decision according to these Terms, Conditions and Official Rules.  During the period from November 6, 2010 through December 3, 2010 (“Final Judging Period”), the Contest curators will select the Grand Prize Winner, as defined below, from the user-selected top twenty-four (24) designs.  Administrator will announce the Grand Prize Winner by 11:59 P.M. EDT on December 10, 2010.

ELIGIBILITY: This Contest is open only to individuals who have (i) reached the age of majority in their state of residence (usually eighteen (18) years old, but please check your home state’s laws to be sure) at the time of entry submission and (ii) are legal US residents.  Sponsor, Administrator, their respective employees, agents, contractors and persons living in the same households of such people are not eligible to participate.

ODDS OF WINNING: Administrator has not previously offered this Contest.  Based on Administrator’s business experience and knowledge, Administrator estimates the odds of winning the Grand Prize of this Contest are 1 in 375.  In Administrator’s similar prior contest, with no limitations based on cameras, there were 7,300 entries, 22 winners and 3 grand prize winners.  All qualified Contestants will receive a free commemorative Contest book.

HOW DO I ENTER:

Requesting a Camera:  The Contest shall be advertised with banner advertisements on a variety of different websites.  To enter Contest, visit Site and follow the prompts therein to request a disposable camera.  The Administrator will send a camera and a photography log via U.S. Mail to the first four hundred (400) qualifying individuals who (i) request a camera and (ii) provide truthful and accurate information for all materials necessary to participate (including, but not limited to, email address, name, age, address, phone number, etc.).  Each person Contestant is limited to one (1) camera.  Administrator will notify you via email if you are one of the first four hundred (400) qualifying requests.

Administrator will send cameras to first four hundred (400) qualified applicants between June 14, 2010 and August  16, 2010. Administrator is not responsible for camera or other materials lost in the mail, and cannot send replacements.

So You Have a Camera, Now What?  Once you have received your camera, now is the time to showcase your photographic skills by taking pictures designed to capture the essence each of the following twenty-four (24) words and phrases, each, a “Word,” collectively, “Words”: 

Original, Icon, New, Less is more, Ingenuity, Culture, One, Limited space, Get mean, Light, Creativity, Sophistication, Community, Innovation, Realism, Customization, Evolve, Truth, Quality, Shock and awe, Reinvent, Sustainability, Your Vision, Inspiration.

As you take photographs, keep notes on which exposure is designed to capture which word.  For instance, exposure 1 is “Original” and exposure 2 is “Innovation.”

Each photograph you take on the camera should capture a different word.  Accordingly, when you have taken all of the photographs on the film in the camera, there should be twenty-four (24) pictures on the role capturing twenty-four (24) words.  There may be additional exposures on the camera and you are welcome to use them but only twenty-four (24) photographs may be entered into the Contest.  You will designate which exposures you want to be your twenty-four (24) photographs entered into the Contest on the Image Log form that you receive with your camera.

I Didn’t Get a Camera, Can I Still Enter?  Only persons receiving cameras from the Administrator are eligible for the Weekly and Grand Prize.  However, the Administrator wants everyone 18 years and older to be involved in the Site community.  You may create a user profile and upload photographs to the Site to share the photographs with the Contest community, as long as the photographs comply with the terms and conditions herein.    If you are uploading your own photographs, those photographs will not be eligible for any of the Prizes, your photographs will not be used in the commemorative Contest book and you will not receive a commemorative Contest book.

How And When to Submit Your Photographs:  Once you have taken all of the photographs on your camera, complete the Image Log. On the Image Log, write the number of the exposure next to the Word you intended to capture. Only the twenty-four (24) exposures that you select will be uploaded to the Site and eligible for votes. In order for your photographs to be uploaded and eligible for votes, Administrator must receive your camera by 9:00pm on September 1, 2010 (“Camera Deadline”). Administrator accepts no responsibility for cameras that are lost in the mail or that do not arrive by the Camera Deadline.  To remain eligible for competition, all cameras must be returned via U.S. Mail or a professional delivery service such as UPS, Federal Express, etc.  Administrator will not reimburse anyone for any delivery service except the use of the postage paid envelope included with the camera.

Using the postage paid envelope you received with your camera, send your camera, completed Image Log and Entry Form via U.S. Mail to:

And the Voting Begins:

Provided that you have (i) returned the camera, with the completed Image Log and Entry Form, to Administrator on or before the Camera Deadline, and (ii) you fulfill the terms and conditions described herein, each photograph you selected is an “Entry” and your selected twenty-four (24) photographs shall be your “Photograph Collection.”

Administrator will develop the photographs using a third-party photograph developing company.  Administrator accepts no responsibility for any photograph processing errors committed by the photograph developer.

Next, Administrator will upload your selected Photograph Collection to the Site.  Your Photograph Collection will be identified using the username you specified.  Once your photographs are uploaded, Administrator will notify you by email that you can enter the Site and add information to your user profile.

Each Entry must meet the following Submission Requirements.  Photographs must be original to the Contestant and Contestant must currently have the right to distribute the photographs publicly.  Each Contestant must affirm ownership of the photographs copyrights in writing and be able to provide any necessary clearances, permissions or releases for contents of each photograph.  Photographs must not contain any third party copyrighted or trademarked material.  Photographs must not be, as determined solely by Sponsor or Administrator, pornographic, violent, defamatory, libelous, or otherwise inappropriate.  Upon completion of a valid Entry, the person submitting a photograph or photographs becomes a Contestant (“Contestant”).

Sponsor and Administrator reserve the right to disqualify any Entry for failure to abide by these Submission Requirements.  A disqualified Entry cannot win a Weekly Prize or the Grand Prize, as those terms are defined herein.

By submitting an Entry, Contestant hereby grants to Sponsor and Administrator the perpetual, worldwide, non-exclusive right to publicly display, reproduce and distribute, exhibit, broadcast, digitize, and prepare derivative works of the submitted photographs and to assign these rights to the photographs to others with no further permission and at no cost or expense to Sponsor or Administrator.  Each Contestant agrees that Administrator may determine not to display an Entry on Site for any reason.  Administrator may remove any photograph in the event that the Submission Requirements are not met or a Contestant is not eligible to participate.  The Sponsor and Administrator may use each Contestant’s name and photograph on Site or elsewhere in connection with Contest.

HOW TO VOTE & WIN: Anyone may visit the Site and vote on an Entry. Votes may only be submitted through the Site.  Site users will review the Photographs submitted by each Contestant and will have the option of voting for their favorite Photographs for the duration of the Voting Period.  Site users will vote for their favorite Photographs according to originality, strength of the image, color scheme and expression of the Word captured.  Site users may vote for Photographs by clicking “I Heart This”.  Site users may vote for more than one Entry.  Each week, from October 1, 2010 through November 5, 2010, the Administrator will specify four (4) Words of the week.  The four (4) Photographs representing one of the four (4) Words of the week with the most votes will win a Weekly Prize.  At the end of the Voting Period, the twenty-four (24) designs with the highest number of votes will be submitted to our curators.

There will be three (3) Contest curators appointed by Administrator and/or Sponsor. Curators are subject to change without prior notice.  In the event of a tie in the selection of the top twenty-four (24) designs by Site users, the curators will make any tie-breaking decisions.  During the Final Judging Period, the curators will select the winning Photograph according to originality, strength of the image, color scheme and expression of the Word captured.  The decision of the curators is final and not subject to any appeal.  In the event that the Entry of any Grand Prize Winner is disqualified or ineligible, the Sponsor and Administrator will select an alternate winner or winners, using the same criteria as stated above. 

A Contestant may only win a single Weekly Prize during the Contest, regardless of how many Entries the Contestant has submitted. A Contestant may win a single Weekly Prize and the Grand Prize.

THE PRIZES:  All qualified Contestants will receive a copy of the commemorative Contest book within six (6) months of the announcement of the Grand Prize Winner on Site.  The commemorative book will contain photographs from the Contest and other content created and chosen by Administrator and Sponsor (“Book”).  Administrator will award four (4) Weekly Prizes each week for six (6) weeks between October 1, 2010 and November 5, 2010.  The Weekly Prize is a 16”x20” print of your winning Photograph.  The Administrator will award one (1) Grand Prize.  The Grand Prize is (i) your Photograph Collection will be included in the Book and (ii) that you will receive a complimentary copy of the Book.

SO YOU WON, NOW WHAT:  Administrator will contact Weekly Prize Winners (individually and collectively, “Winner”) via email within fourteen (14) business days of selection.  Each Winner will be required to complete a Liability Release and an Affidavit of Eligibility.  Each Winner is entirely responsible for understanding, complying and paying for any applicable local, state, or federal taxes.  If Sponsor or Administrator does not receive the Affidavit of Eligibility and the Liability Release within five (5) business days of Administrator’s request, an alternative Winner will be selected at Sponsor’s sole discretion. Any failure to comply with these Terms, Conditions and Official Rules shall result in disqualification of the Contestant.  The Contestant failing to comply shall forfeit any prize and the curators shall select an alternate winner. 

The Grand Prize Winner will be contacted via email within five (5) business days of selection and announced on the Site by December 10, 2010.

Winners agree that Sponsor, Administrator and its designees shall have the non-exclusive perpetual, worldwide right to edit, publish, and use any photograph entered in Contest solely for the promotional purposes of Sponsor and/or Administrator and/or Contest, in any way and in any media, in its sole discretion without further consideration to Contestants or winner.

By accepting a prize, each Winner agrees that its Entry will be deemed a Work Made For Hire under the copyright laws of the United States, but if it cannot be so deemed, then the Winner irrevocably assigns and transfers to Administrator all of his/her right, title and interest in and to his/her Entry, including but not limited to all copyrights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged.  Winner hereby waives in favor of Administrator, all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that Winner may now or later have to their Entry.  Administrator reserves the right to alter, change or modify the winning Entry, in its sole discretion.  Upon request of Administrator, Winner shall execute and deliver such additional instrument of assignment, as may be solely deemed by Administrator, reasonably necessary to establish the ownership of record of the right, title and interest in and to the Entry and of the copyrights transferred and “Moral Rights of Authors” waived under these Official Rules.  Should Administrator fail to request the said assignment as stated, that shall not be deemed a waiver of Administrator’s rights and Administrator may at a later time request the assignment.

GENERAL LEGAL:

THINGS CHANGE: Sponsor and Administrator reserve the right to change the rules, dates and deadlines of the Contest.  Changes will be posted on the Site.

DISCLAIMER: ENTRIES POSTED TO THE WEBSITE WERE NOT EDITED BY SPONSOR OR ADMINISTRATOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL CONTESTANT AND DO NOT REFLECT THE VIEWS OF SPONSOR OR ADMINISTRATOR IN ANY MANNER.

NO PARTNERSHIP: Contestant acknowledges that by entering this Contest, there is no partnership or special relationship created between a Contestant and Sponsor or Administrator.

RELEASE: Upon submitting an Entry, each Contestant agrees that the Sponsor and Administrator shall not be liable for any losses, damages, or injuries of any kind, including, without limitation, property damage, personal injury, and/or death, resulting from participation in the Contest, or from Contestant’s acceptance, receipt, possession and/or misuse of a prize.  Contestants specifically disclaim any warranty or representation, including, but not limited to, the implied warranty of merchantability and fitness for a particular purpose.  Sponsor and Administrator assume no responsibility for any damage to any computer system involved in participating in the Contest. Prizes will only be awarded to verified winners.  Sponsor and Administrator accept no responsibility for damaged, destroyed, late, or otherwise dysfunctional submissions.  If the Contest cannot continue due to a computer problem (including, but not limited to, virus, software and/or hardware failure, technical difficulty of any kind, etc.), Sponsor and Administrator reserve the right to suspend, terminate, cancel or modify the Contest.

INFORMATION SHARING: The personal information that Contestants and voters submit will be subject to the Site’s privacy policy.  Administrator and Sponsor may use the information you submit to offer you information on other offers or products or services.  The Privacy Policy is available at Site at the bottom of the Main Page, under the Terms section.

DON’T MESS: ANY ATTEMPT TO DAMAGE SITE OR TO GAME THE CONTEST, OR TO HARASS, DEFAME, OR ABUSE ANY OTHER PERSON IS A VIOLATION OF THE LAW.  ANY CONTESTANT WHO ATTEMPTS TO VIOLATE OR VIOLATES THE LAW SHALL BE DISQUALIFIED.  SPONSOR AND ADMINISTRATOR RESERVE THE RIGHT TO SEEK DAMAGES AND ALL OTHER REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW.

REMEDIES: Contestants agree to waive any right to injunctive relief.  Each Contestant agrees that Sponsor and Administrator do not have any liability with respect to the infringement of any copyrights or trademarks in any design.

GOVERNING LAW: All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of participant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with the laws of the State of California without regard to the conflict of laws rules that would cause the laws of any other jurisdiction to apply. Contestants hereby submit to the jurisdiction and venue of the State and Federal courts of Los Angeles, California and waive the right to have disputes arising out of the subject matter hereof adjudicated in any other forum. Contestants agree to waive any right to injunctive relief. Each Contestant agrees that Sponsor and Administrator do not have any liability with respect to the infringement of any copyrights in any design.

USAGE RIGHTS & INDEMNITY: By entering, each Contestant warrants and represents in connection with each photograph submitted as part of his/her entry that: (a) he/she is the owner; (b) that each photograph is original to Contestant; (c) he/she has all necessary rights, including model releases, to grant the rights set forth below; (d) the photograph has not been previously published or submitted in any other Contests or competitions and/or to any media, including, without limitation, any advertisements, books, magazines, postcards, or calendars; (e) the photograph does not defame or otherwise violate the rights of any third party; and (f) the photograph does not violate any federal, state, or local laws, or ordinances.  Contestant agrees to hold harmless Administrator, Sponsor, their officers, directors, employees, divisions, affiliates, subsidiaries, advertising and promotional agencies, from any claim by any third party relating to any rights in any photograph submitted.

CONTESTANT AGREES TO DEFEND OR AT ITS OPTION SETTLE ANY CLAIM OR ACTION BROUGHT AGAINST ADMINISTRATOR AND/OR SPONSOR, THEIR OFFICERS, EMPLOYEES, DIRECTORS, AGENTS AND AFFILIATES (COLLECTIVELY, THE “INDEMNITEES”) ARISING OUT OF OR RELATING TO AN ALLEGATION THAT: (I) ANY DESIGN PROVIDED TO CONTEST HEREUNDER THAT INFRINGES OR MISAPPROPRIATES, OR ALLEGEDLY INFRINGE OR MISAPPROPRIATES, THE INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY, OR (II) ANY DESIGN PROVIDED TO CONTEST DEFAMES OR OTHERWISE VIOLATES ANY PRIVACY OR OTHER RIGHTS OF A THIRD PARTY; AND CONTESTANT WILL INDEMNIFY INDEMNITEES AGAINST ANY AND ALL LOSSES, DAMAGES, SUITS, JUDGMENTS, COSTS AND EXPENSES (INCLUDING LITIGATION COSTS AND REASONABLE ATTORNEYS' FEES) ARISING UNDER ANY SUCH CLAIM OR ACTION.
